• YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES;
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;

• ANY ALLERGEN REACTIONS OR FOOD-RELATED HEALTH ISSUES, EXCEPT TO THE EXTENT CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

IN NO EVENT SHALL PUNCH PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SITE OR SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO PUNCH PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100.00).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Punch Pizza and you. Some states do not allow the exclusion or limitation of certain types of damages, so some of the above exclusions and limitations may not apply to you to the extent prohibited by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Punch Pizza and its parent company, subsidiaries, affiliates, officers, directors, shareholders, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Punch Pizza agree to submit to the exclusive personal jurisdiction of the federal and state courts located in the state of operation of Punch Pizza for the purpose of litigating all such claims or disputes. You hereby waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

16. Dispute Resolution and Arbitration

Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator's decision shall be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

YOU AND PUNCH PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Punch Pizza agree otherwise, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

16.4 Opt-Out

You have the right to opt out of binding arbitration within thirty (30) days of your first use of our Site by providing written notice to us at [email protected]. Your notice must include your name, address, and a clear statement that you wish to opt out of this arbitration agreement.

17. Term and Termination
